Viet Nam Dairy Products Joint Stock Company (VINAMILK) will consult shareholders about issuing and listing bonus shares to shareholders:

- Exercise ratio: 2:1 (each shareholder owning 02 shares at the record date will receive 01 bonus share)

- The number of bonus shares will be rounded down. The fractional parts will be cancelled.

- Bonus shares: transferable

- Rights to transfer bonus shares: not transferable

- Financial resource: Investment & development fund, Retain profit.

- Total current shares: 556,114,754 shares

- Bonus shares expected to be issued: a maximum of 278,057,377 shares

- Issue time: in December 2012 or January 2013, after receiving an approval from the State Securities Commission and the Hochiminh Stock Exchange.

- VNM will consult shareholders to authorize the Board of Directors to choose a record date for bonus issue, an issue plan and to fulfill procedures and list new shares.

- VNM will consult shareholders to increase VNM’s capital to match with the bonus shares before December 31, 2012.

- Record date to determine a shareholder list to consult shareholders about issuing and listing bonus shares: August 23, 2012.
